Terms and Conditions
The agreement for using GRID by Open Minds, including workspaces, organizations, connected devices, collaboration and AI features.
1. Who operates GRID and how this agreement works
GRID is operated by Raja Ratna Prakash Padala, an individual proprietor trading as Open Minds in India ("Open Minds", "we", "us" or "our"). Open Minds is a trading name, not a representation that a company or limited-liability entity has been incorporated. The operator and correspondence details appear in section 30. Use of a university correspondence address does not imply university ownership, agency or endorsement.
These Terms and Conditions govern accounts, websites, workspaces, applications, connected devices, software, APIs and services that identify these terms as applicable (together, the "Service"). "You" means the person accepting these terms and, where that person has authority to bind an organization, that organization. You accept through an affirmative acceptance step or a separately executed agreement; a privacy acknowledgement is not consent to every possible use of personal data.
A signed service agreement or accepted order takes precedence only for the matters it expressly changes. The Privacy Notice explains personal-data handling and does not expand the content licence below. Mandatory applicable law takes precedence over conflicting contract language. Features, integrations and paid plans described here apply only when actually made available; these terms do not promise a release date or an unpurchased entitlement.
2. Eligibility and authority
Self-service accounts are available only to people who are at least 18 years old and legally competent to contract. An organization account must be established and operated by an adult authorized to represent the organization. Do not misstate age, identity, student status, employment or authority. A university or club membership does not itself give authority to represent that institution.
Do not register for another person, let an underage person use an adult account, or use the Service where doing so is prohibited by applicable law, sanctions or export restrictions. We may reasonably request verification, restrict affected features or refuse an account where necessary to enforce these requirements. Any future service for minors requires an expressly supported, legally appropriate onboarding arrangement; these terms alone do not create one.
3. Accounts, credentials and account security
Provide accurate information, keep your verified email current, and use only accounts you are authorized to control. Usernames may be permanent. Do not buy, sell, lend or transfer accounts or verification status without our written approval. You are responsible for the people you authorize to use an organizational account and for securing devices, credentials, recovery methods, invitation links and installation tokens.
Report suspected compromise promptly to our support address. Do not share passwords or reuse a pairing command across unauthorized devices. We may revoke sessions, rotate tokens, challenge account ownership, restrict suspicious activity or temporarily suspend access to protect the Service. We will not treat activity caused by our own security failure as automatically your fault. Account recovery depends on adequate proof and is not guaranteed where ownership cannot be established.
4. Permission to use the Service
Subject to these terms, applicable permissions and an active entitlement, we grant a limited, non-exclusive, non-transferable, revocable right to use the Service for your lawful personal, educational or business work. You receive no ownership of GRID, its source code, models, service architecture, interfaces, branding or proprietary methods.
Access, storage, attachment size, compute, AI processing, integrations, rate limits, support and collaboration allowances may be limited by the published plan, accepted order and reasonable technical safeguards. We may enforce limits to prevent abuse and maintain security and reliability. Material reductions to an existing paid entitlement are subject to section 20 and applicable remedies. A technical ability to access something is not permission to access it.
5. Your content, ownership and responsibility
As between you and Open Minds, you or the applicable rights holder retain ownership of code, documents, images, messages, recordings, work evidence and other material submitted to the Service ("Your Content"). You must have the rights and lawful authority necessary to upload, capture, process and share it, including permissions from employers, customers, collaborators and people whose personal data it contains.
You are responsible for the accuracy and legality of Your Content and its attribution. Do not claim that another person’s work, an uploaded code sample, AI-generated material or an automated commit proves your own authorship or skill. Respect open-source licences, confidentiality duties, institutional rules and third-party intellectual-property rights. GRID does not determine legal ownership disputes or replace employment, university, customer or contributor agreements.
6. Limited licence needed to operate GRID
You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, render, format, index, secure and process Your Content, and to generate the summaries, previews, ledgers and assessments you enable, only as reasonably necessary to provide and protect the Service, fulfil your sharing instructions, support you and comply with law. We may allow contracted providers to perform those functions for us subject to appropriate obligations. This is not an assignment of ownership.
Public content may be displayed and made accessible according to its public settings. Private content must remain subject to applicable access permissions; this licence does not authorize publishing it as promotional material, selling private source code or using private content to train general-purpose AI models. A different optional use requires separate lawful authority and appropriate notice. Service inference and retrieval for your enabled features are distinct from training a general-purpose model.
The licence ends when the relevant content is removed from our systems, except for limited retention lawfully necessary for existing authorized shared copies, preserved evidence, backups, security, dispute handling or legal obligations as described in section 18 and the Privacy Notice. These exceptions do not permit indefinite retention without a lawful purpose.
8. Organizations and organization-controlled work
An organization and its authorized administrators manage its account, memberships, invitations and organization-controlled work subject to the permissions actually provided. If you assign work to an organization, you authorize the applicable administrative access, visibility and retention controls shown in the Service. Leaving an organization does not automatically remove organizational work, contributions or lawfully preserved evidence.
Organizations must give members appropriate notices about monitoring, AI interpretation, access, retention and use of work-related personal data and establish a valid legal basis where required. Do not use GRID for covert employee surveillance or imply that participation transfers every personal project to the organization. Organizational account administration does not resolve the underlying legal ownership of intellectual property.
The organization is responsible for its authorized members, truthful membership categories and lawful instructions. We may verify administrative authority, suspend disputed access or preserve relevant records while resolving competing claims. We are not required to transfer an account or content solely because someone asserts that an employment or university relationship exists.
9. Flowboards, Flowdocs, integrations and media
Workspaces support collaboration according to their current permissions. Personal and thread-linked assets may have different owners and access rules. Group attachments and retained document versions can behave differently from a live editable source. Confirm the exact item and version before attaching it to evidence or sharing it.
Keep appropriate independent copies of important work. Autosave, synchronization, previews, downloads, printing and version history are useful features, not a promise of a complete backup, permanent storage, uninterrupted synchronization or restorable source-code history. If changes remain unsynced, review the warnings and recovery options before closing or discarding them.
Third-party websites, embedded media, repositories, identity providers and payment services have their own terms and availability. Connect only resources you may authorize. Revoking a third-party connection can stop future access without deleting previously imported work or authorized shared copies. We do not acquire ownership of those third-party services or guarantee their behavior.
10. Dev Monitor and device capture
Dev Monitor is optional background software for authorized development environments. Only install or pair it on a device and project you are entitled to monitor. Installation commands or time-limited tokens link a device to an account; protect them as credentials. Obtain any required employer, device-owner and participant permission before capture. Do not install it covertly or on a public, shared or managed system without authorization.
Depending on the enabled adapters and settings, capture can include project and file identifiers, code changes, development events, errors, diagnostic and terminal output, execution context, repository relationships, work-episode timing, and device, network and synchronization information. Such information can contain personal data or secrets. Review capture scope, exclusions and outputs; do not assume that a filter detects every password, token or confidential item.
The helper may continue in the background and start again after a system restart when configured to do so. Website instructions to pause, stop, unlink or clean up require the device to reconnect and apply them; they cannot instantly act on a powered-off or disconnected device. Use available local stop or removal controls when immediate local action is necessary. Unlinking and local cleanup do not erase evidence already received by GRID, subject always to lawful privacy and deletion requests.
A developing work episode, buffered evidence and transmitted packet are different states. Transmission and adapter coverage depend on connectivity, operating-system permissions, supported integrations and settings. We do not promise visibility into every unsaved edit, IDE, application, output or event, or reconstruction of an entire codebase. Connected GitHub activity and local evidence may be reconciled to reduce duplicate processing without making them equivalent sources.
11. Review periods, locking and preserved evidence
Where the Service provides a six-hour review period, review and make permitted changes or deletions before the displayed deadline. Unless a different supported workflow is clearly shown, eligible activity may automatically lock and enter processing when that period expires. AI may propose a thread or phase assignment; review it and report an incorrect attribution. A review deadline is not a waiver of a later legal right or correction request.
After locking, the normal editing and deletion controls may be disabled to preserve the evidentiary record. A Flowdoc, attached Flowboard group, its retained version, relevant internal relationships or source board may be protected against modification or deletion where required to preserve locked evidence. Continue subsequent work in a separate editable copy. Do not bypass locks or alter surrounding material to misrepresent a preserved record.
Immutability is an application-integrity control, not an exemption from law. We may restrict access, annotate, correct derived attribution, supersede a conclusion or remove material where necessary for privacy, intellectual-property rights, security, a lawful request or legal compliance. Where possible we will distinguish a later correction from the original record instead of silently rewriting its history. The existence of a lock does not prove the truth, authorship or completeness of the content.
12. AI interpretation, skills and candidate discovery
AI and automated processing may interpret eligible work, propose routing, prepare summaries, maintain ledgers and assess or suggest skills. A skill assessment is an evidence-bounded interpretation, not a qualification, independent verification, guarantee of competence, employability or outcome. A missing or pending assessment is not proof of inability. Errors, incorrect attribution, incomplete context and inconsistent outputs are possible.
We may change models, evaluation criteria and processing schedules, correct or supersede explanations, withdraw unsupported conclusions and reassess existing derived skills. We do not promise a positive assessment or a particular level because a skill was declared, a subscription was purchased or a previous model awarded it. Requests to contest an explanation should identify the affected skill, work and specific error through support.
You must evaluate outputs against their sources before relying on them. Organizations must not use a GRID score or recommendation as the sole basis for hiring, rejection, dismissal, pay, promotion, admission or another legally significant decision. They remain responsible for meaningful human review, lawful selection criteria, candidate notices, anti-discrimination obligations and any required assessments, consents or agreements.
Private evidence is not made public by AI processing. Candidate discovery, where available, must respect the user’s permissions and applicable notices. These terms do not authorize inferring protected or sensitive personal traits for recruitment or using undisclosed monitoring to make employment decisions. GRID is not an employment agency, accreditation authority or provider of legal, medical or financial advice.
13. Circle, messaging and calls
Use connections, invitations, messages, attachments and calls respectfully and only for lawful purposes. Do not send spam, scams, unsolicited mass invitations, malicious files or deceptive requests for credentials. A connection, invitation or prior collaboration is not consent to harassment, marketing or off-platform monitoring.
Message editing and deletion may be limited; for example, deletion may no longer be available after a recipient has seen a message. Attachments and shared group copies can outlive their originals. Recipients may retain what they receive. We do not represent Circle messages or Flowrooms as end-to-end encrypted unless a specific feature expressly states and implements that protection.
Do not record, transcribe, capture or share a call without the notices, permissions or consent required by applicable law. The availability of a recording or capture tool is not legal permission to use it. Connection quality depends on participants’ devices and networks, and calls are not an emergency communications service.
14. Prohibited conduct
You must not use the Service to do, attempt, assist or knowingly facilitate any of the following:
- Access private work or accounts without authorization; evade authentication, permissions, evidence locks, rate limits, payment restrictions, security controls or a suspension; intercept credentials or impersonate a person, organization or authority.
- Upload or distribute malware, exploit code intended for unauthorized harm, stolen credentials, unlawful surveillance tools or material that disrupts systems; conduct unauthorized penetration tests, destructive probes, mining or denial-of-service activity.
- Infringe copyright, trademarks, privacy, confidentiality, trade secrets or other rights; publish doxxing, unlawful threats, child sexual abuse material, non-consensual intimate material, unlawful impersonation, or content prohibited by applicable Indian law or applicable local law.
- Threaten India’s sovereignty, integrity, defence, security or public order; incite legally prohibited violence or offences; obstruct lawful investigation; distribute unlawful discriminatory, terrorist or exploitative material.
- Fabricate or manipulate work records, timestamps, identities, endorsements, attributions, skills or hiring evidence; disguise AI assistance as independently verified work; submit deceptive synthetic media or remove legally required provenance or labels.
- Scrape or bulk-export personal data, collect candidate or contact databases without authorization, resell access, commercially exploit private work, send spam or use the Service for prohibited advertising or recruitment discrimination.
- Reverse engineer, decompile, copy or recreate proprietary parts of the Service except where a non-waivable law or an applicable open-source licence permits it; remove ownership notices or misrepresent an unofficial integration as approved.
- Use automated clients, agents or APIs to exceed an authorized scope, extract other users’ information, evade metering, manipulate assessments or overload the Service. Authorized development and security research within express permission remain permitted.
We may investigate suspected abuse and apply proportionate restrictions under section 19. Nothing in these restrictions prohibits a lawful complaint, truthful criticism, protected disclosure, legally permitted interoperability or exercise of statutory rights. Report a suspected vulnerability privately to our support address and avoid accessing or exposing other people’s data.
15. Open Minds intellectual property and feedback
Open Minds and its licensors retain all rights in GRID’s software, designs, trademarks, service logic, proprietary taxonomies, evaluation methods and other Service materials, except Your Content and material licensed otherwise. No trademark or endorsement rights are granted. Applicable open-source notices and licences remain effective for the components they cover.
You may voluntarily provide feedback. You grant us a non-exclusive, perpetual, worldwide, royalty-free right to use feedback to improve and develop our services without an obligation to compensate you. This does not grant rights to third-party confidential material, private project content or personal data beyond a lawful purpose. Do not submit confidential information as unrestricted feedback.
16. Privacy and personal-data instructions
Read the separate Privacy Notice for categories of data, purposes, providers, retention, security, rights and contact methods. Accepting these terms does not waive privacy rights, authorize every form of employee monitoring, consent to marketing or replace a separate consent required for an optional capture or data use.
Where an organization determines the purposes of processing work-related personal data, the parties’ actual legal roles and responsibilities depend on applicable law and their instructions. An appropriate data-processing agreement, lawful transfer arrangement and other required documentation must be in place before using GRID for processing that requires them. These terms do not themselves provide GDPR standard contractual clauses, appoint an overseas representative or certify compliance in a jurisdiction.
Do not upload payment-card security data, authentication secrets, government identifiers, health records, biometric identifiers or other highly sensitive or specially regulated data unless a separately supported and legally appropriate arrangement permits it. If such information is unintentionally captured, stop the affected capture and contact support promptly.
Read the Privacy Notice →17. Fees, renewals, cancellation and refunds
Only the prices, currency, taxes, allowances, billing frequency and renewal conditions shown in an accepted order or checkout apply. No fee or automatic renewal is authorized merely by accepting these terms. Free access does not require payment unless you separately select and authorize a paid service. Student, regional and team offers may require reasonable eligibility verification and have clearly disclosed conditions.
You must use an authorized payment method and pay properly invoiced, undisputed charges. Taxes will be charged only as legally applicable; a GST registration or tax status is not implied by our brand. Payment providers process payment details under their own terms. We may suspend an unpaid paid entitlement after reasonable notice where appropriate, while preserving mandatory access, export and refund rights.
Where recurring billing is expressly enabled and accepted, cancellation stops future renewals and ordinarily leaves paid access until the end of the current period unless the accepted order states otherwise. Use the cancellation control provided or contact support if it is unavailable or fails. An unavailable cancellation control must not be used to obstruct cancellation. Price increases apply prospectively with at least 30 days’ notice before a renewal where practicable, or any longer notice required by law; you may cancel before the new price applies.
Unless an accepted offer or mandatory law provides otherwise, changing your mind or not using an already supplied subscription does not create an automatic prorated refund. We will address duplicate or unauthorized charges and any refund or service remedy required by law. If we permanently discontinue a prepaid service for reasons other than your material breach, we will refund the unused portion where appropriate and legally required. Approved refunds are returned through the original method where possible, normally within 7–10 business days after approval, subject to the payment network and any shorter legal deadline.
Applicable cooling-off, withdrawal, defective-service and consumer-guarantee rights remain available. These terms do not obtain an advance waiver of a European or UK withdrawal right; any lawful early-performance request or digital-content acknowledgement must be separately presented when required. No future payment feature should be treated as active solely because this section addresses it.
18. Deletion, exports and retention
You may use available account, deletion and export controls or contact support. Verify what a deletion action covers: unlinking a device, deleting an editable source, closing an account and removing a recipient’s independently authorized copy are different actions. An organization may need to retain organizational work after a member leaves.
We retain content only for service purposes and other lawful grounds described in the Privacy Notice. Backups may take time to cycle out, and some records may need restricted retention for fraud prevention, legal obligations, disputes, accounting or the rights of other participants. We will not rely on an evidence lock alone to deny a valid erasure or restriction request. The existence and duration of a retention ground must be considered for the particular data.
Where reasonably possible and safe, we will give notice and a reasonable opportunity to export accessible content before a non-emergency closure or discontinuation. This does not grant access to other people’s private content or require restoration of unlawfully held material. Keep independent backups; we do not promise that every historical state, shared recipient copy or third-party cache can be exported, recovered or erased.
19. Moderation, suspension and termination
We may restrict features, revoke access, suspend or terminate accounts, decline transactions, disable material, revoke invitation links or take other reasonable measures when necessary to address a material breach, unlawful conduct, fraud, security risk, non-payment, a binding legal request or a serious threat to other users or the Service. We may act immediately where delay would create harm or violate law.
Where lawful and reasonably practicable, we will explain the material reason and provide an opportunity to correct a remediable issue or request review. Notice may be limited during a security investigation or where disclosure is legally prohibited. Contact the grievance address to challenge a restriction. We do not promise advance notice for emergency action or repeated abuse, and we do not reserve a right to confiscate lawful user content.
On termination, the affected permission to use the Service ends. Accrued payment obligations, ownership, necessary limited retention and content licences, confidentiality, liability, dispute provisions and other provisions intended to survive continue to the extent lawful. Closing an account does not erase a debt or override a legal obligation, and it does not extinguish mandatory consumer or privacy rights.
20. Changes to the Service and these terms
We may develop, replace, limit or discontinue features and update these terms for security, legal, operational or product reasons. For a material adverse change to an existing paid service or contract, we will provide reasonable advance notice, ordinarily at least 30 days, unless a shorter period is necessary for law, security or urgent harm prevention. We will provide any remedy required by the accepted order or law.
The version and effective date will be published. We will seek renewed affirmative acceptance where required and will not treat a footer link alone as acceptance of a new material obligation. If you do not agree, you may stop using the affected service and use applicable cancellation, export and legal remedies. New terms do not retroactively excuse a breach, authorize a new data purpose or remove accrued statutory rights.
21. Availability, beta features and your safeguards
Except for commitments expressly included in an accepted service-level agreement or required by law, we do not promise uninterrupted access, error-free software, a response time, completeness of capture, permanent availability of an integration or a particular AI result. Internet failures, device limitations, third-party failures, maintenance and security measures can affect availability.
Experimental or beta features may change or be withdrawn and should be evaluated before use for important work. Do not rely on GRID as your only backup, emergency system, legal evidence repository or control for safety-critical operations. A label such as "locked", "verified", "supported" or "recorded" describes a product state within its stated scope, not a legal certification or guarantee.
22. Disclaimers subject to mandatory rights
To the maximum extent permitted by applicable law and except for express contractual commitments, the Service and AI outputs are provided on an "as is" and "as available" basis without implied warranties of merchantability, fitness for a particular purpose, non-infringement or guaranteed accuracy. You remain responsible for reviewing outputs, obtaining rights and choosing appropriate safeguards for your use.
These disclaimers do not exclude the duty to provide a service with legally required care and skill, an express promise we make, liability for fraud or a non-waivable consumer guarantee. We do not disclaim responsibility that the law requires us to accept, and we do not claim that a disclaimer makes unlawful processing or a security breach lawful.
23. Limitation of liability
For business users, to the extent permitted by law, Open Minds and its personnel and suppliers will not be liable for indirect, consequential, special, incidental or punitive loss, lost profits, lost business opportunities, anticipated savings or loss of goodwill arising from the Service. Subject to the exclusions below, our aggregate liability for claims arising from the same or connected events is limited to the greater of INR 10,000 and the fees you paid us for the affected Service during the 12 months before the event giving rise to the claim.
The business limitations do not exclude or limit fraud, fraudulent misrepresentation, deliberate unlawful conduct, death or personal injury caused by negligence, or any liability, remedy or data-protection obligation that cannot lawfully be excluded or limited. The cap does not reduce an obligation to refund a payment where the law requires that refund.
For consumers, we remain responsible for reasonably foreseeable loss caused by our breach of contract or failure to use legally required care and skill, subject to limitations that your law permits. The business cap and business exclusion above do not reduce non-waivable consumer rights. You must take reasonable available steps to mitigate avoidable loss, without relieving us of our legal responsibilities.
24. Business-user indemnity
If you use GRID for a business or organization, you will defend and indemnify Open Minds and its personnel against reasonable third-party claims, damages and costs, including reasonable legal fees, to the extent arising from Your Content infringing rights, your unlawful use, your material breach of these terms or your organization’s unlawful instructions. This obligation does not apply to losses caused by our own breach, negligence or unlawful conduct.
We will give reasonably prompt notice, cooperate at your reasonable expense and allow you to control the defence with appropriate counsel. You may not agree to a settlement imposing an admission, non-monetary obligation or liability on us without written consent, not to be unreasonably withheld. We may participate with our own counsel at our own expense. This business indemnity is not imposed on a consumer acting outside a trade or profession.
25. Complaints, takedowns and assessment corrections
Email [email protected], addressed to the Grievance Officer, with your contact details, the relevant URL or item identifier, the issue, the right or rule involved and the action requested. You do not need a GRID account to report unlawful public content or a privacy issue. Provide enough information to locate the material; do not include passwords or unnecessary sensitive data.
For an intellectual-property complaint, identify the protected work, allegedly infringing material, your authority and a good-faith explanation of the claim. We may request necessary supporting details, notify the affected user where lawful and allow a response. Deliberately false or abusive complaints may themselves lead to restrictions or legal consequences. A legal complaint is not decided solely by an AI output.
We will acknowledge intermediary grievances within 24 hours and address them within the applicable legal period, including seven days where the current Indian intermediary rules require it. Shorter statutory periods apply to specified removal complaints, intimate imagery or impersonation complaints, and binding court or government directions. Such matters are prioritized immediately; ordinary support queues and contract discussion periods do not extend legal deadlines.
For a skill, contribution or ledger correction, identify the disputed conclusion and relevant source. We may mark it disputed, review attribution and evidence, or supersede a derived conclusion while preserving a lawful audit history. You may use any applicable statutory escalation, consumer forum, regulator or Grievance Appellate Committee route; this process does not waive those rights.
26. International use and regulatory boundaries
GRID is operated from India and may be accessed from other countries where we lawfully offer it. Indian governing law does not eliminate mandatory consumer, privacy, employment, accessibility, sanctions or other rules applicable to the service or to your location. We may restrict a feature or region rather than offer it without required safeguards.
An organization must assess its own use, including employment monitoring, candidate profiling, regulated data and cross-border transfers. Do not use the Service for a regulated or legally restricted purpose that requires approvals, contracts or safeguards not established for your account. A paid subscription is not such an approval. No representation is made that GRID is certified under every country’s laws or approved for every recruitment or AI use.
27. Governing law and disputes
Indian law governs these terms to the extent a choice of law is permitted. For business-to-business disputes, courts in Andhra Pradesh, India that have competent territorial and subject-matter jurisdiction have exclusive jurisdiction to the extent the parties may lawfully agree. This does not require a consumer to use a foreign forum where mandatory law provides a local court, consumer commission or other remedy.
Please contact support first so we can try to resolve a dispute. We will attempt a good-faith resolution within 30 days, but this is not a mandatory waiting period for urgent relief, a statutory complaint or a claim nearing a legal deadline. These terms do not impose compulsory arbitration, a class-action waiver, an unlawful shortened limitation period or a waiver of access to a competent regulator or court.
28. General contractual provisions
If a provision is invalid or unenforceable, it is severed or limited only as permitted by law and the rest continues. A delay in enforcement is not a waiver. These terms and applicable accepted orders form the agreement about the Service; they do not override a separate lawful confidentiality or data-processing agreement on its covered matters.
You may not assign an account or this agreement without our written approval, except where law permits otherwise. We may transfer the Service or agreement as part of a lawful reorganization or business transfer, with notice and without reducing mandatory rights; personal data remains subject to applicable law. A transfer does not retrospectively change who incurred an existing liability.
Neither party is responsible for delay caused by events beyond its reasonable control to the extent legally permitted, but it must take reasonable steps to mitigate the effect. This does not excuse outstanding payment for a service already supplied, lawful refund rights, avoidable security failures or non-waivable obligations. No partnership, employment or agency relationship is created by using GRID.
29. Notices and electronic records
We may send service, security and contractual notices through your verified email, in-product notifications or another appropriate channel. Keep contact details current. Promotional communications, where offered, are subject to separate choices and legal requirements. You may save or print these terms and the version shown above.
We may record the policy version, your affirmative acceptance and the server-recorded time to establish the agreement and respond to disputes. We will not create an acceptance record for an existing user who has not actually accepted. An electronic record does not prevent you from disputing accuracy, authority or the legal effect of that record.
